DirectMitra provides a digital platform that may enable:

• Manufacturers and suppliers to showcase their products.
• Retailers and business buyers to discover products.
• Businesses to communicate and exchange business information.
• Buyers to place orders where the relevant functionality is available.
• Manufacturers/sellers to manage product listings and orders.
• Payment, logistics and other supporting services through DirectMitra or third-party service providers.

Unless expressly stated otherwise, DirectMitra acts as a marketplace/platform facilitator and is not necessarily the manufacturer, seller, owner or supplier of products listed by independent sellers.

The actual contracting parties for a transaction may be the buyer and the relevant seller.

By using DirectMitra, you represent that:

1. You have the legal capacity to enter into a binding agreement.
2. You are using the Platform for lawful purposes.
3. The information you provide is accurate and complete.
4. If you are registering on behalf of a business, you have appropriate authority to represent that business.
5. You will comply with all applicable laws and regulations.

DirectMitra may refuse, suspend or terminate an account where eligibility requirements are not satisfied.

Certain Platform features may require registration.

You agree to:

• Provide accurate and current information.
• Keep your account information updated.
• Maintain the confidentiality of your login credentials.
• Not share your account with unauthorized persons.
• Immediately notify DirectMitra of suspected unauthorized access.
• Accept responsibility for activities carried out through your account, subject to applicable law.

DirectMitra may require additional information or documents for business verification.

Manufacturers, suppliers, retailers and other business users may be required to provide information such as:

• Business name
• GSTIN
• PAN
• Business address
• Contact information
• Bank / payment details
• Business registration documents
• Other information reasonably required for verification

DirectMitra may verify information directly or through authorized service providers.

Providing false, misleading, fraudulent or incomplete information may result in account suspension or termination.

Manufacturers and sellers using DirectMitra agree that they are responsible for:

• The accuracy of product information.
• Product descriptions and specifications.
• Product images used in listings.
• Pricing and availability.
• Product quality.
• Applicable warranties.
• Packaging.
• Legal compliance of products.
• Required licences, approvals and certifications.
• Accurate invoices and tax documentation.
• Fulfilling accepted orders.
• Complying with applicable return, replacement and refund obligations.

A seller must not list products that are unlawful, counterfeit, stolen, prohibited or otherwise restricted from sale.

Retailers and buyers agree to:

• Provide accurate delivery and billing information.
• Review product details before placing an order.
• Pay all applicable charges.
• Use products only for lawful purposes.
• Provide accurate business and tax information.
